Fit & proper standards

Five pillars. One ongoing standard.

Section 6A of the FAIS Act and BN 194 of 2017 set the standard a Key Individual must meet before approval and continue to meet thereafter.

    Honesty, integrity & good standing

    Evidence of trustworthy conduct, good character and the absence of disqualifying criminal, regulatory or debarment outcomes.

  2. 02

    Competence

    Relevant practical management experience, a recognised qualification and the applicable Key Individual regulatory examination.

  3. 03

    Operational ability

    Capacity to manage and oversee the FSP effectively, including credible time and resource allocation where a KI serves more than one entity.

  4. 04

    Financial soundness

    The Key Individual may not be an unrehabilitated insolvent or subject to current insolvency or sequestration proceedings.

  5. 05

    Continuous professional development

    Annual CPD must remain current and evidenced, with the required hours determined by the scope of the approved business activities.

Licensing & ongoing obligations

KI coverage is licence-critical.

A juristic FSP acts through natural persons. The Key Individual is the direct management and governance link between the FSP, its representatives and the FSCA. If that link is lost, the licence may be exposed.

A licensing condition

The FSCA must be satisfied that every proposed Key Individual meets the fit-and-proper requirements before an FSP licence can be granted.

Approval comes first

A new appointment, replacement or relevant change in circumstances must be formally submitted to and approved by the FSCA.

Compliance is continuous

The FSP and its Key Individuals must remain fit and proper at all times. Approval is the start of the obligation, not its conclusion.

Coverage protects the licence

If approved KI coverage is lost and not replaced, the FSP may no longer meet its licence conditions, exposing it to suspension or withdrawal.
